2. What is sold
The seller provides consulting and execution aimed at associating a client’s brand with an agreed query in Google Autocomplete, for an agreed country, and reporting what that list shows. A standard plan covers one suggestion.
- Intro, $247 per month. One placement, a keyword up to 500 searches a month, one country, and a 30-minute consult.
- Growth, $497 per month. One placement, a keyword up to 1,000 searches a month, one country, and a 30-minute consult.
- Pro, $997 per month. One placement, a keyword up to 2,000 searches a month, two countries, a one-hour session, and one editorial mention.
- Custom. Three or more keywords, higher volume, more countries, or removal of a misleading suggestion, as described in the quote.
Prices on the website are in US dollars and exclude any tax the client is required to bear. A quote may restate the price before you pay.
3. How a contract is formed
A page on the website, including a price, is an invitation to ask for a quote. It is not an offer that you can accept by silence or by filling in the form alone. The contract is formed when you accept a written quote, or when you pay an invoice that describes the query, the country, the fee, and the plan.
The seller may decline a keyword before the first invoice, including when the query does not match the client’s real offer, impersonates another company, or is too broad to hold a single brand suggestion.
4. No rank is sold
Google does not sell Autocomplete placements. Suggestions differ by country, change over time, and can be personalized. The seller does not guarantee that a suggestion will appear, that it will occupy a given position, or that it will remain. The deliverable is the agreed work and a plain report of what the list shows for the agreed query and country.
If an accepted keyword shows no movement inside the window stated in the quote, the seller will retarget once or pause billing. The quote states which of those applies.
5. Client duties
The client confirms that it owns the brand or is authorized to represent the owner, that the website may be referenced, and that the query matches a real offer. The client will provide the trading name, the URL, and the country. The client will not ask the seller to impersonate another company, invent reviews, or publish a false association.
6. Price, invoicing, and payment
Fees are billed monthly in US dollars unless the quote says otherwise. Work starts when the quote is accepted and the first invoice is paid. Late payment may pause the work. The seller may refuse a new period if an invoice is unpaid.
7. Term and cancellation
A monthly plan continues until one side cancels. Either side may cancel with 14 days’ notice before the next billing date, by email to the address used for the project, or to hello@scalesuggest.co. Fees already paid for a period that has started are not refunded, except where the seller declined the keyword before work began.
8. Reports
Status reports describe observations of a public suggestion list. They are for the client. The client may share them internally and with its own advisers. The seller keeps its methods. The client keeps its brand, site, and other materials.
9. Liability
To the extent the law allows, the seller is not liable for lost profits, lost rankings, or decisions the client makes from a suggestion list. The seller’s total liability for a project is limited to the fees the client paid for that project in the three months before the claim. Nothing here limits liability that cannot legally be limited, including liability for fraud.
10. Force majeure
Neither side is liable for delay caused by an event outside its reasonable control, including an outage or a change in a third-party search product, provided that side gives notice and resumes when it reasonably can.
11. Personal data
Client contact details are used to perform the contract, to invoice, and to keep required records. The privacy policy explains the rest.
12. Law and venue
These conditions are governed by the laws of the State of New Mexico, without regard to conflict-of-law rules. Subject to any mandatory rule that protects a consumer’s home court, the state and federal courts located in Bernalillo County, New Mexico, are the venue for disputes arising out of a sale.
13. Whole agreement
For a given order, the quote or invoice and these conditions are the whole agreement. Marketing pages, blog posts, and example placements do not add promises. Use of the website itself is covered by the terms and conditions. The publisher is identified in the legal notice.
